These Terms constitute a legally binding agreement between you (either as an individual or on behalf of an entity) and Eleven Solutions LLC.

2. Eligibility

You must be at least 18 years old and capable of entering into legally binding contracts to use our Services. By using our Services, you represent and warrant that you meet these eligibility requirements.

If you are using the Services on behalf of an organization, you represent and warrant that you have the authority to bind that organization to these Terms.

3. Account Registration and Security

3.1 Account Creation

To access certain features of our Services, you must create an account. You agree to:

Notify us immediately of any unauthorized access to your account

To introduce viruses, malware, or other harmful code

4.2 Prohibited Activities

You specifically agree not to:

Attempt to gain unauthorized access to our systems or networks

5. VoIP Services and Communications

5.1 Service Availability

While we strive to provide reliable service, we do not guarantee uninterrupted or error-free access to our VoIP Services. Service may be subject to limitations, delays, and other problems inherent in internet and telecommunications use.

5.2 Emergency Services (911/E911)

IMPORTANT NOTICE: Our VoIP Services may have limitations regarding emergency calling services. VoIP 911 services operate differently from traditional telephone services:

You must register your physical location for 911 services

911 services may not function during power or internet outages

You are responsible for ensuring alternative means of accessing emergency services

5.3 Call Recording

If you use call recording features, you are solely responsible for:

Complying with all applicable laws regarding call recording and consent

Notifying all parties that calls are being recorded where required by law

Obtaining necessary consents before recording

5.4 Acceptable Use of Phone Services

You agree not to use our VoIP Services for:

Fraudulent or illegal telemarketing activities

Harassment or threatening communications

Violation of Do Not Call regulations

Auto-dialing or robocalling without proper authorization

Any activity that violates telecommunications laws

6. Fees and Payment

6.1 Pricing

Current pricing for our Services is available on our website. We reserve the right to modify pricing with 30 days' notice to existing customers.

6.2 Billing

Subscription fees are billed in advance on a monthly or annual basis

You authorize us to charge your payment method on file

All fees are non-refundable except as required by law or as expressly stated in these Terms

6.3 Late Payment

Failure to pay fees may result in suspension or termination of your account. You remain responsible for all fees incurred during the suspension period.

6.4 Overage Charges

Usage beyond your plan limits may result in additional charges as specified in your service plan.

7. Intellectual Property Rights

7.1 Our Intellectual Property

The Services, including all content, features, functionality, software, and design, are owned by Eleven Solutions LLC and protected by copyright, trademark, and other intellectual property laws.

7.2 Limited License

We grant you a limited, non-exclusive, non-transferable, revocable license to access and use the Services for your business purposes in accordance with these Terms.

7.3 Your Content

You retain ownership of any content you transmit through our Services. By using our Services, you grant us a limited license to transmit, store, and display your content solely to provide the Services.

8. Third-Party Services and Links

Our Services may contain links to third-party websites or integrate with third-party services. We are not responsible for the content, privacy practices, or terms of use of any third-party services. Your use of third-party services is at your own risk.

9. Privacy and Data Protection

10. Service Level Agreement (SLA)

For customers on eligible plans, we provide service level commitments as outlined in our separate SLA documentation. Please refer to your service plan details for specific uptime guarantees and remedies.

11. Disclaimers and Limitations of Liability

11.1 Disclaimer of Warranties

THE SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, OR NON-INFRINGEMENT.

We do not warrant that:

The Services will be uninterrupted, secure, or error-free

Defects will be corrected

The Services are free of viruses or harmful components

Results obtained from the Services will be accurate or reliable

11.2 Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, ELEVEN SOLUTIONS LLC SHALL NOT BE LIABLE FOR:

Any indirect, incidental, special, consequential, or punitive damages

Loss of profits, revenue, data, or business opportunities

Service interruptions or data loss

Any damages exceeding the amount you paid to us in the 12 months preceding the claim

Some jurisdictions do not allow the exclusion of certain warranties or limitation of liability, so these limitations may not apply to you.

12. Indemnification

You agree to indemnify, defend, and hold harmless Eleven Solutions LLC, its officers, directors, employees, and agents from any claims, liabilities, damages, losses, and expenses (including reasonable attorneys' fees) arising from:

We are not liable for any failure to perform due to circumstances beyond our reasonable control, including natural disasters, war, terrorism, labor disputes, or internet service failures.

16.6 Export Compliance

You agree to comply with all applicable export and import laws when using our Services.
